Contracts Manager
Position Description:
Contracts Manager is responsible for reviewing, drafting and negotiating non-disclosure agreements,
evaluation agreements, software license agreements, professional service agreements and training
agreements in support of worldwide sales and marketing. The Contracts Manager will report to the
Corporate Counsel.
Position Responsibilities:
- Responsible for independently reviewing, drafting and negotiating non-disclosure agreements, evaluation agreements, software license agreements, professional service agreements and training agreements
- Work closely with the sales team, customers and finance on structuring and negotiating license transactions
- Position requires ability to prioritize tasks and meet tight deadlines.
Required Experience:
- At least 5 years experience negotiating software license agreements and related agreements
- Strong negotiation skills
- Excellent oral and written communication skills
- Ability to balance legal/contractual issues with business risk
Desired Experience:
- Experience with international licensing agreements
- Experience with Federal procurement process and contracts, including knowledge of FARS.
Education:
- Bachelors degree or equivalent

Payroll Specialist
ArcSight (ARST) is a leading provider of security and compliance solutions that intelligently
identify and mitigate business risk and deliver a centralized view of enterprise-wide events
across heterogeneous networks. This real time and historical view into external attacks,
insider threats and compliance audit controls provides enterprises, MSSPs and government
agencies with the intelligence and response capabilities required to effectively protect
and manage their networks and businesses.
ArcSight’s Payroll is responsible for not only payroll related activities, such as setting up
garnishments; managing leave of absences from a pay perspective; understanding monthly Paid Time
Off Leave Accruals process; processing termination / ad hoc manual check requests, etc, but also
supporting open enrollment and processing of various benefits forms in nature, including 401k and
ESPP plans, and calculation of all payroll deductions and W-2 reporting including 401k, ESPP,
garnishments, disqualifying dispositions, ISO activity, restricted stock activity, and other
deferrals. The Payroll Specialist must have an in depth and detailed understanding of compliance
and laws surrounding these issues, in addition to detailed hands on experience and knowledge of
the ADP processing system. In addition, the Payroll Specialist must be able to support all the
'life events' transactions for employees from new hire, to transfer, to promotion, to pay rate
changes, to data changes, i.e. cost center, work location, etc. Great customer service is a must.
Position Responsibilities:
- Full cycle Payroll processing and maintenance
- Secure and process payroll timesheets for non-exempt employees
- Update and maintain accurate employee records in the Payroll system
- Calculate all payroll deductions and W-2 reporting including 401k, ESPP, garnishments,
Disqualifying dispositions, ISO activity, Restricted stock activity, and other deferrals
- Input payroll data into the ADP payroll system
- Prepare timely and accurate weekly payroll runs
- Reconcile all payroll and related accounts (401k, ESPP, garnishments, etc.)
- Work closely with supervisors to secure all required employee documentation
- File and photocopy any necessary documentation for complete payroll recordkeeping
- Maintain orderly, complete, and up-to-date Personnel files
- Assist with SOX implementation and compliance efforts
Required Experience:
- 6-8 years of payroll experience required, with a thorough understanding of payroll tax,
accounting and compliance.
- Possess superior data entry skills
- Ideal candidate will have experience with Softrax accounting system
- Strong problem solver who is accurate, detail oriented, and professional
- Always well organized and able to meet deadlines
- Able to work independently and prioritize multiple tasks
- Ability to work well with others and secure conformance with Company rules
- Strong hands-on experience with and knowledge of ADP payroll system.
- Must be computer literate and possess strong customer focus.
- Strong payroll background and /or experience.
- Solid knowledge and understanding of payroll systems and platforms.
- Prior public company experience is a plus

- Bachelor degree preferred
